1. Acceptance of Terms

By downloading, installing, accessing, or using Zynk ("the App," "the Service"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you") and Zynk ("we," "us," "our"). We reserve the right to modify these Terms at any time.

2. Description of Service

Zynk is an intelligent meeting management application that aggregates your video conferencing meetings from third-party platforms including Zoom, Microsoft Teams, and Google Meet into a unified timeline interface. The Service also includes:

• Calendar synchronization with Google Calendar and Microsoft Outlook
• Automated meeting creation on connected platforms
• Push notification reminders for scheduled meetings
• Team organization and collaboration features
• Meeting search and history capabilities

3. Account Registration

3.1 Eligibility

You must be at least 13 years of age (or 16 in certain jurisdictions) to create an account and use Zynk. By registering, you represent that you meet this age requirement.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to notify us immediately of any unauthorized access to your account.
• You are solely responsible for all activities that occur under your account.
• You may not share your account with or transfer it to another person.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep this information updated. We reserve the right to terminate accounts with inaccurate information.

4. Third-Party Integrations

4.1 OAuth Connections

Zynk integrates with third-party services (Google, Microsoft, Zoom) using OAuth 2.0. By connecting these services, you authorize Zynk to access your data within the scope of permissions you grant. You can revoke access at any time.

4.2 Third-Party Terms

Your use of connected third-party services remains subject to those services' own terms and conditions and privacy policies. Zynk is not responsible for third-party services' conduct, outages, data practices, or policy changes.

4.3 API Usage

Zynk's integration with Google Calendar is subject to the Google API Services User Data Policy. We only access data necessary to provide the features you've enabled.

5. Acceptable Use

You agree NOT to use Zynk to:

• Violate any applicable laws, regulations, or third-party rights
• Impersonate any person or entity or misrepresent your affiliation
• Send spam, unsolicited messages, or bulk meeting invitations
• Attempt to gain unauthorized access to other accounts or systems
• Reverse engineer, decompile, or disassemble any part of the App
• Use automated means to access or scrape the Service
• Introduce malware, viruses, or malicious code
• Conduct any activity that disrupts or interferes with the Service
• Use the Service for any illegal purpose

6. Organizations and Team Features

6.1 Organization Administrators

Organization owners have the ability to invite members, manage meetings, and remove members. Organization owners are responsible for ensuring members comply with these Terms.

6.2 Invitations

When you invite someone to an organization or meeting, you confirm you have their permission to share their email with Zynk and to send them notifications. Do not invite people who have not consented to receive Zynk communications.

7. Intellectual Property

7.1 Zynk's IP

The Zynk application, including its design, code, graphics, logos, and content (excluding user content), is owned by Zynk and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

7.2 Your Content

You retain ownership of meeting data and content you create in Zynk. By using the Service, you grant us a limited, non-exclusive license to process your content solely to provide the Service.

8. Subscription and Payments

8.1 Free Tier

Zynk offers a free tier with limited features. Free tier availability and features may change at our discretion with 30 days' notice.

8.2 Paid Subscriptions

Paid plans are billed monthly or annually. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscriptions auto-renew unless cancelled before the renewal date.

8.3 Refunds

Monthly subscriptions are non-refundable. Annual subscriptions may be refunded on a pro-rata basis within 14 days of purchase if you have not used the premium features. Contact billing@zynk.app for refund requests.

8.4 Price Changes

We reserve the right to change subscription prices. Price changes will be communicated at least 30 days in advance and will take effect at your next billing cycle.

9. Termination

9.1 By You

You may terminate your account at any time by going to Settings → Account → Delete Account. Upon termination, your data will be deleted per our Privacy Policy within 30 days.

9.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will provide notice where legally required.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We are not responsible for: meeting links failing to connect, third-party platform outages, lost meetings due to sync failures, or any calendar conflicts arising from our integrations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYNK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless Zynk, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration under the rules of [Arbitration Body], except where prohibited by law.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via in-app notification or email at least 14 days before the effective date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
